Jolimark to Convene 28 May 2026 AGM; Agenda Includes FY2025 Accounts, Board Re-elections and 20% Issue Mandate

Jolimark Holdings Limited has issued a proxy form for the Annual General Meeting scheduled for 28 May 2026 at 11:00 a.m. in North Point, Hong Kong. Shareholders may appoint proxies to vote on nine ordinary resolutions.

Key items on the agenda are:

1. Financial Reporting • Adoption of the audited consolidated financial statements and the directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of executive directors Mr. Au Pak Yin and Mr. Au Kwok Lun. • Re-election of independent non-executive director Mr. Yeung Kwok Keung. • Authorisation for the board to determine directors’ remuneration.

3. Auditor Appointment • Re-appointment of Gary Cheng CPA Limited as external auditor, with the board authorised to fix its remuneration.

4. Share Capital Authorities • General mandate allowing the board to allot, issue and deal with shares not exceeding 20% of the company’s issued share capital as at the date of the resolution. • Authorisation for the company to buy back shares up to 10% of issued capital. • Extension of the 20% issue mandate to include shares repurchased under the 10% buy-back authority.

The proxy form must reach Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting. Joint shareholders are subject to seniority rules for voting, and any alteration to the proxy form requires initialling by the signatory.
