Shangshan Gold AGM: 100% Shareholder Support Renews Board, Auditor and Capital Mandates

Shangshan Gold International Holdings Limited reported that all six ordinary resolutions were approved by poll at the 25 August 2026 annual general meeting (AGM).

• Voting participation reached 191.69 million shares, representing 37.46% of the 511.88 million shares in issue. Every resolution received 100.00% of votes cast in favour, with no votes against or abstentions.

• Financial Statements: The audited consolidated results for the financial year ended 31 March 2026 were adopted.

• Board Composition: – Executive Director Zheng Haoran, Independent Non-executive Director Professor He Jia and Independent Non-executive Director Dr Li Jing were each re-elected. – The board is authorised to determine directors’ remuneration.

• Auditor: HLB Hodgson Impey Cheng Limited was re-appointed, with the board authorised to fix its fees.

• Capital Authorities: – Issue Mandate: Directors may issue, allot and deal with additional shares up to 20% of outstanding share capital. – Repurchase Mandate: Directors may repurchase shares up to 10% of outstanding share capital. – Extension Mandate: The issue mandate is extendable by the number of shares repurchased under the repurchase mandate.

No shareholders were required to abstain, nor were any treasury shares or pending-cancellation shares outstanding. Tricor Investor Services Limited acted as scrutineer for the poll. All directors attended the AGM in person or electronically.
