Shenglong Splendecor gains Stock Exchange waiver, reschedules circular for Lin’An land acquisition

Shenglong Splendecor International Limited announced that it has obtained a waiver from the Stock Exchange of Hong Kong to defer the despatch of its shareholder circular related to the major acquisition of a land-use right in Lin’An District, Hangzhou, Zhejiang Province.

Originally slated for release on or before 27 May 2026, the circular is now required to be issued on or before 22 June 2026. The extension was granted after the Company’s auditor, Confucius International CPA Limited, indicated it needs additional time to finalize two key documents: 1. An indebtedness statement as of 30 April 2026 2. A working-capital forecast to be included in the circular

The Stock Exchange approved the waiver on 26 May 2026, clarifying that it is specific to this transaction and may be withdrawn if circumstances change.

Board composition remains unchanged, with three executive directors—Mr. Sheng Yingming, Mr. Fang Xu, and Ms. Sheng Sainan—and three independent non-executive directors—Mr. Ma Lingfei, Mr. Tso Ping Cheong Brian, and Mr. Zheng Yong—collectively accepting responsibility for the announcement’s accuracy and completeness.
