NT PHARMA (01011) announced that, in connection with Beijing Kangchen Pharmaceutical Co., Ltd.'s initiative to split the assets of and dissolve the joint venture relationship with Beijing Kangchen Biotechnology Co., Ltd., and to alleviate the group's liquidity strain and meet strategic restructuring needs, the company intends to sell part or all of its equity interests in NT Pharma (Overseas) Holding Co., Ltd. (NT Pharma Overseas). NT Pharma Overseas is an indirect wholly-owned subsidiary of the company (held through NT Pharma Group Co., Ltd.) and indirectly holds a 25.30% equity interest in Beijing Kangchen Biotechnology Co., Ltd. through its direct wholly-owned subsidiary, NT Pharma (Asia) Co., Ltd. The board hereby informs shareholders and potential investors that the company has initiated preliminary discussions with interested potential buyers regarding the proposed equity sale. At this stage, the matter remains in very early directional discussions, and no substantive plan, specific terms, or any legally binding agreement or memorandum of understanding has been formed.
