NT Pharma Sets 4 June 2026 AGM; Shareholders to Decide on 20% Issuance Mandate, 10% Buy-back Authority and Board Re-elections

China NT Pharma Group Company Limited (NT Pharma, stock code: 01011) has scheduled its 2026 Annual General Meeting (AGM) for 11:00 a.m. on Thursday, 4 June 2026, at Unit 2102, 21/F, West Tower, Shun Tak Centre, 168–200 Connaught Road Central, Hong Kong. The meeting will not provide refreshments, gifts or vouchers.

Key agenda items:

1. Financial Statements • Shareholders will consider and adopt the audited consolidated financial statements, along with the directors’ and auditors’ reports, for the financial year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of three retiring directors: – Ms. Chin Yu (Non-Executive) – Dr. Zhao Yubiao (Independent Non-Executive) – Mr. Lou Yongbin (Non-Executive) • The board seeks authority to fix directors’ remuneration.

4. Capital Management Mandates A. Issuance Mandate • Directors may allot, issue or deal with additional shares and convertible securities up to 20% of the company’s issued share capital as at the AGM date, in compliance with Hong Kong Listing Rules. B. Share Buy-back Mandate • Directors may repurchase shares up to 10% of issued share capital during the mandate period. C. Mandate Extension • Conditional on approval of the above two mandates, the issuance limit may be extended by the number of shares repurchased, effectively allowing further issuance of up to an additional 10% of current issued capital.

Administrative details:

• Shareholders must lodge share transfers by 4:30 p.m. on Friday, 29 May 2026; the register of members will close from Monday, 1 June 2026 to Thursday, 4 June 2026 (both days inclusive). • Proxy forms, together with any authority documents, must be deposited with Tricor Investor Services Limited at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong no later than 48 hours before the AGM. • Shareholders holding two or more shares may appoint multiple proxies; proxies need not be shareholders. Joint holders’ voting rights will be determined by seniority on the register.

Board composition as of the notice date (30 April 2026): Executive Directors – Mr. Ng Tit (Chairman) and Ms. Ng Anna Ching Mei; Non-Executive Directors – Dr. Qian Wei and Ms. Chin Yu; Independent Non-Executive Directors – Mr. Yu Tze Shan Hailson, Mr. Ng Ming Kwan and Dr. Zhao Yubiao.
