HUIJING HLDGS: INED Chan Kin Man Resigns, Board Falls Short of HKEX Independence Requirements

Huijing Holdings Company Limited (HUIJING HLDGS) announced that Independent Non-Executive Director (INED) and Audit Committee Chairman Mr. Chan Kin Man will step down effective 31 July 2026, citing other business commitments. Mr. Chan confirmed no disagreement with the Board and no matters requiring shareholder attention.

Following the resignation, the Board composition will include three executive directors, one non-executive director and two INEDs. This structure fails to satisfy the Hong Kong Stock Exchange’s Listing Rules 3.10(1), 3.10(2) and 3.21, which mandate at least three INEDs, at least one INED with appropriate professional qualifications, and an audit committee comprising a minimum of three INEDs chaired by an INED.

The Company stated it is actively seeking suitable candidates and intends to restore compliance within three months from 31 July 2026. Further announcements will be made upon the appointment of a new INED and Audit Committee chair.

The Board expressed appreciation for Mr. Chan’s contributions during his tenure.
