Hong Kong-listed NT Pharma announced supplementary details surrounding the 8 May 2026 resignation of Independent Non-Executive Director Mr. Ng Ming Kwan, following receipt of his formal statement on 18 May 2026.
Mr. Ng’s statement outlines four areas of contention:
• Board awareness and involvement: He claims he was not notified of, or engaged in, several historical transactions that may have constituted notifiable or connected dealings under Chapters 14 and 14A of the Listing Rules. Key documentation, including a supplemental agreement, was reportedly withheld until shortly before the 8 May Past Transactions Announcement.
• Accuracy and adequacy of disclosure: Mr. Ng argues the Past Transactions Announcement misrepresented the Board’s knowledge, misattributed responsibility, and inadequately described compliance issues and remedial actions.
• Information flow and board process: He states that insufficient information was provided before he was asked to approve the Past Transactions Announcement, and his subsequent requests for clarification went unanswered, highlighting broader concerns about governance and compliance procedures.
• Circumstances leading to resignation: Mr. Ng asserts that being asked to endorse disclosures he believed were inaccurate prevented him from fulfilling his fiduciary duties, prompting his departure.
NT Pharma’s Board emphasizes that these points solely reflect Mr. Ng’s position. Management is reviewing the issues raised and will release further clarifications when appropriate. No additional matters relating to the resignation require shareholder attention at this stage.
As at 19 May 2026, NT Pharma’s Board comprises two executive directors (Mr. Ng Tit and Ms. Ng Anna Ching Mei), three non-executive directors (Dr. Qian Wei, Ms. Chin Yu, Mr. Lou Yongbin), and three independent non-executive directors (Mr. Yu Tze Shan Hailson, Mr. Kwok Che Chung, Dr. Zhao Yubiao).
