Parenting Net Schedules 30 June 2026 AGM to Approve FY2025 Results, Board Changes and Capital Mandates

China Parenting Network Holdings Limited (Parenting Net) has released the agenda for its annual general meeting (AGM), to be held on 30 June 2026 at 10:00 a.m. in Nanjing, Jiangsu Province.

Key agenda items include:

1. FY2025 Financial Statements • Shareholders will vote on adopting the audited consolidated results for the year ended 31 December 2025, together with the directors’ and auditor’s reports.

2. Board Composition and Remuneration • Re-election of three directors: executive director Zhang Lake Mozi, non-executive director Song Yuanyuan and independent non-executive director Manley Poon. • The board will be authorised to set directors’ remuneration.

3. Auditor Appointment • Confucius International CPA Limited is nominated for re-appointment. • The board will fix the audit fee, preliminarily estimated at RMB0.80 million–RMB1.00 million for the FY2026 audit.

4. Capital Management Mandates • Issuance mandate: directors may allot and issue up to 20% of the issued share capital (excluding treasury shares) during the mandate period. • Repurchase mandate: directors may buy back up to 10% of issued shares on the Hong Kong Stock Exchange. • Extension mandate: the issuance limit may be increased by the number of shares repurchased under the buy-back mandate, capped at an additional 10%.

5. Constitutional Amendments • Shareholders will consider adopting a third amended and restated memorandum and articles of association, incorporating changes outlined in the company’s 5 June 2026 circular.

Administrative Details • Share transfer books will be closed from 25 June 2026 to 30 June 2026. • Proxy forms must be lodged with Tricor Investor Services Limited by 10:00 a.m. on 28 June 2026.

Parenting Net’s current board comprises executive directors Zhang Lake Mozi and Cheng Li; non-executive directors Song Yuanyuan and Zhang Haihua; and independent non-executive directors Zhao Zhen, Manley Poon and Nicole Huang Meng Ting.
