SY Holdings Reports 40,000 New Shares Issued via Option Exercises in August 2026

SY Holdings Group Limited released its monthly return for the period ended 31 August 2026, confirming a modest expansion of its share capital and continued compliance with Hong Kong’s public-float requirements.

The company’s authorised share capital remained unchanged at 5.00 billion ordinary shares with a par value of HKD0.01 each, representing authorised capital of HKD50.00 million.

During August, 40,000 ordinary shares were issued upon exercise of employee share options granted under the 2017 Share Option Scheme. Consequently, the number of issued shares (excluding treasury shares) rose to 1,065,794,792 from 1,065,754,792. Treasury shares were unchanged at 521,000, bringing total issued shares to 1,066,315,792.

Option exercises generated HKD0.26 million in cash proceeds. The 2017 Scheme now has 2.06 million outstanding options, while the 2024 Share Scheme shows 5.00 million outstanding options and authorises potential future issuance or transfer of up to 93.98 million shares.

The company affirmed that it met the Main Board’s minimum public-float requirement of 25% as of 31 August 2026. No new warrants, convertible securities, other share-based arrangements or treasury-share movements were reported.

The filing was submitted to Hong Kong Exchanges and Clearing Limited on 1 September 2026 and signed by Company Secretary Wang Zheng.
