HSBC: Issued Share Capital Unchanged as Buyback Reaches 23.86 Million Shares under 2026 Mandate

Hong Kong, 1 September 2026 – HSBC Holdings plc filed a Next Day Disclosure Return with the Hong Kong Stock Exchange confirming that the bank’s issued share capital remained steady at 17.17 billion ordinary shares of US$0.50 each as of 31 August 2026. HSBC currently holds no treasury shares.

Buyback activity • Shares repurchased for cancellation but not yet cancelled total 9.99 million, comprising 3.01 million shares bought in the UK at an average GBP 15.10 and 6.98 million shares bought in Hong Kong at a volume-weighted average HKD 161.60. • The most recent on-market purchase occurred on 31 August 2026, when 303,600 shares were acquired in Hong Kong at prices ranging from HKD 159.50 to HKD 161.20 for a consideration of HKD 48.72 million. • Cumulative purchases since the 8 May 2026 annual general meeting amount to 23.86 million shares, equivalent to 0.14 % of shares in issue when the mandate was approved.

Repurchase mandate capacity The current authority, granted on 8 May 2026, permits the repurchase of up to 1.72 billion shares before the close of business on 30 June 2027 or the 2027 AGM, whichever is earlier. Following the transactions disclosed, 1.70 billion shares remain available under the mandate.

Moratorium on new issuance Under Rule 10.06(3), HSBC is restricted from issuing new shares or transferring treasury shares on the Hong Kong market until 30 September 2026, except for contingent convertible securities already cleared with the Exchange.

No other changes to share capital, treasury shares or cancellation status were reported.
