Bao Pharma Executes HKD 2.99 Million Share Buyback, Cuts Outstanding H-Shares by 0.12%

Shanghai Bao Pharmaceuticals Co., Ltd. (Bao Pharma; 02659.HK) reported a share repurchase on 31 August 2026 under its Hong Kong Stock Exchange (HKEX) mandate: the company bought back 184,800 H-shares on-market at prices between HKD 15.69 and HKD 16.66, equivalent to a volume-weighted average of HKD 16.1859 per share. The cash consideration totalled HKD 2.99 million.

Following the transaction, Bao Pharma’s outstanding issued H-share count fell to 152.41 million shares from 152.59 million on 31 July 2026, a 0.12% reduction. All repurchased shares have been retained as treasury stock, lifting the treasury share balance to 1.92 million. The company’s total issued share capital remains unchanged at 154.33 million shares.

The buyback was executed under the repurchase mandate approved on 26 May 2026, which authorises the company to repurchase up to 15.43 million shares. Cumulative repurchases since the mandate’s approval now stand at 1.92 million shares, representing 1.24% of the shares outstanding on the mandate date, leaving ample capacity for further buybacks.

In accordance with HKEX rules, Bao Pharma is subject to a moratorium on new share issues or treasury-share disposals until 30 September 2026, unless prior exchange consent is obtained. The board confirmed that the repurchase complied with all applicable listing rules and regulatory requirements.
