Sheen Tai convenes AGM on 29 May 2025 to approve FY-2025 accounts, board changes and refreshed share mandates

Sheen Tai Holdings Group Company Limited will hold its annual general meeting on 29 May 2025 at 15:00 (Unit 1903, 19/F, Jubilee Centre, Wan Chai, Hong Kong). Key agenda items are as follows:

1. Financial statements • Shareholders will review and adopt the audited consolidated accounts, together with directors’ and auditors’ reports, for the financial year ended 31 December 2025.

2. Auditor • HLB Hodgson Impey Cheng Limited is proposed for re-appointment as external auditor, with fees to be set by the board.

3. Board composition • Re-election: Mr. Guo Yumin (executive director) and Mr. Chan Yin Lam (independent non-executive director). • New appointments: Mr. Zeng Xiangyang (executive director) and Mr. Wu Weili (independent non-executive director). • The board will be authorised to determine directors’ remuneration.

4. Capital management authorities • General issue mandate: Directors may allot, issue or dispose of additional shares— including any sale or transfer of treasury shares—up to 20 % of the company’s issued share capital (treasury shares excluded) as at the date of the resolution. • Repurchase mandate: Authorisation to buy back up to 10 % of issued shares (treasury shares excluded). • Extension: The issue mandate may be increased by an amount equal to the shares repurchased under the above authority.

Shareholders of record may appoint proxies and must lodge proxy forms with Tricor Investor Services Limited at least 48 hours before the meeting or any adjournment. Attendance in person supersedes previously submitted proxies.
