Lotus Horizon to Hold 21 Aug 2026 AGM; Shareholders to Vote on FY26 Results, Board Re-elections and 20% Issuance Mandate

Lotus Horizon Holdings Limited will convene its 2026 Annual General Meeting (AGM) on 21 August 2026 at 2:30 p.m. (22/F, Euro Trade Centre, Central, Hong Kong). Key matters up for shareholder approval are as follows:

1. FY26 results • Endorsement of the audited financial statements and the directors’ and auditor’s reports for the year ended 31 March 2026.

2. Board composition and remuneration • Re-election of Executive Director Mr Yeung Kin Wa. • Re-election of Independent Non-executive Directors Ms Leung Yin Fai and Mr Ma Tsz Chun. • Authorisation for the board to determine directors’ remuneration.

3. Auditor • Re-appointment of Deloitte Touche Tohmatsu as external auditor for the next financial year and approval for the board to set the audit fee.

4. General mandates • Share issuance mandate: authority to allot and issue new shares or convertible securities up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. • Share buy-back mandate: authority to repurchase shares or convertible securities on the Stock Exchange or other recognised bourses up to 10% of issued share capital (excluding treasury shares), equating to a maximum of 200.00 million shares based on the current share count. • Extension mandate: conditional increase of the share issuance limit by an amount equal to the shares repurchased under the buy-back mandate, capped at an additional 10% of issued share capital.

Key administrative details • Shareholders must lodge transfer documents by 4:30 p.m. on 17 August 2026; the register will be closed from 18–21 August 2026 (both days inclusive). • Proxy forms must be submitted to Tricor Investor Services Limited or via the designated e-voting platform at least 48 hours before the meeting. • Contingency plans are in place for severe weather; any postponement will be announced via HKEX and the company website.

As at the notice date (17 July 2026), the board comprises Executive Directors Mr Chu Kwok Fun (Chairman & CEO) and Mr Yeung Kin Wa (CFO), alongside three Independent Non-executive Directors: Ms Leung Yin Fai, Mr Ma Tsz Chun and Ms Yuen Wai Yee.
