NT Pharma Reports Progress on AI Health Pivot, Debt Restructuring, and Auditor Disclaimer Resolution

China NT Pharma Group Company Limited (NT Pharma, 01011) has issued its latest quarterly update on measures to address the auditor’s going-concern disclaimer and strengthen liquidity.

Strategic Transformation • On 25 March 2026 the group completed the acquisition of 100% equity in unnamed target companies, thereby securing an indirect 58.11% stake in Zhejiang Kangyuan Medical Device Co., Ltd. • The deal brings Kangyuan’s AI-driven Bone Density System, Portable AI X-Ray Device, 12 patents and 25 source-code suites into NT Pharma’s portfolio, underpinning the group’s transition toward an end-to-end “testing–treatment–rehabilitation” AI health-management platform. • Post-acquisition integration is under way across operations, production and sales. Small-batch deliveries of the Portable AI X-Ray Device to customers have commenced.

Capital Structure and Liquidity Actions • Debt restructuring talks: NT Pharma continues negotiations with major creditors—including substantial shareholders and connected parties—to renew or extend maturities or convert debt into equity, while seeking covenant waivers. Certain key lenders have expressed preliminary support; no binding agreements have been signed. • New financing: Following the February 2026 termination of a proposed convertible-bond issue, the company is pursuing alternative structured financing and engaging potential strategic investors focused on medical and health technology.

Auditor Disclaimer Resolution The Board reiterates its commitment to mitigating the uncertainties that led to the auditor’s going-concern disclaimer in the FY 2025 report and will provide further disclosures as material developments arise.
