Raily Aesthetic Medicine Cancels 47.28 Million Share Options After Market Price Decline

Raily Aesthetic Medicine International Holdings Limited announced that its board and remuneration committee have cancelled all 47.28 million outstanding share options previously granted under the company’s Share Option Scheme, effective 31 August 2026. The decision was made with the written consent of all grantees.

The cancelled options originated from three separate grant dates—29 August 2022 (25.18 million options at an exercise price of HK$0.7294), 26 January 2024 (11.19 million options at HK$0.4999) and 23 February 2024 (10.91 million options at HK$0.5303). Following the cancellation, no share options remain outstanding under the scheme.

Management cited the recent decline in the company’s share price, which left all option exercise prices materially above prevailing market levels, as the reason the awards no longer served their incentive purpose. No replacement options will be issued to the affected grantees.

The company confirmed that none of the grantees are directors, chief executives, substantial shareholders or their associates. Raily Aesthetic Medicine’s board currently comprises three executive directors—Chairman Mr. Fu Haishu, Mr. Song Jianliang and Mr. Wang Ying—and three independent non-executive directors: Dr. Lin Hai, Ms. Yang Xiaofen and Mr. Liu Teng.
