PARENTING NET Completes HK$1.07 Million Share Subscription, Expands Issued Share Capital to 51.14 Million

China Parenting Network Holdings Limited (PARENTING NET) completed its previously announced share subscription on 6 July 2026. All conditions under the Subscription Agreements have been fulfilled, resulting in the issuance of 3.30 million new shares at HK$0.325 each under the existing general mandate.

The transaction increases PARENTING NET’s issued share capital from 47.84 million to 51.14 million shares, representing a 6.90% expansion. Gross proceeds are estimated at approximately HK$1.07 million, calculated from the disclosed price and share quantity.

Shareholding shifts: • Ms. Chan’s stake rises to 2.50 million shares, or 4.88% of the enlarged capital (up from 4.42%). • Mr. Woo’s holding increases to 2.48 million shares, equating to 4.84% (previously 3.67%). • Ms. Nangoi emerges as a new shareholder with 2.20 million shares, accounting for 4.30% post-issue. • Other existing major shareholders—Ms. Maria Rachel Mai Decolongon Tatoy (10.58%), Victory Glory Holdings (5.87%) and XI-F-AI PTE. LTD. (3.04%)—see proportional dilution due to the enlarged share base but retain their absolute share counts.

The subscription was executed without altering board composition; the board continues to comprise two executive, two non-executive and three independent non-executive directors.
