Asia-Pac Financial to Seek 20% New-Issue Mandate, 10% Buyback Capacity and Board Re-elections at 24 Sep 2026 AGM

Asia-Pac Financial Investment Company Limited (Asia-Pac Financial) has dispatched a circular convening its 2026 Annual General Meeting (AGM) for 24 September 2026 in Hong Kong. Key proposals require shareholder approval as ordinary resolutions:

1. Equity Mandates • Issue Mandate: Directors seek authority to allot, issue, sell or transfer treasury shares equal to up to 20% of the issued share capital (excluding treasury shares) as at the AGM date. Based on 279.81 million shares outstanding on 25 August 2026, the limit equates to 55.96 million shares. • Repurchase Mandate: Approval to repurchase up to 10% of issued shares (27.98 million shares) on the Stock Exchange or other recognised bourses during the mandate period. Repurchased shares may be cancelled or held as treasury shares. • Extension Mandate: Any shares repurchased under the Repurchase Mandate may be added to the Issue Mandate, potentially lifting the effective issuance ceiling to 30% of current issued capital.

2. Board Composition • Retirement by rotation and proposed re-election of Executive Director Mr Wu Di (age 45) and Independent Non-Executive Director Mr So Kwok Yun (age 64). • Both candidates have been assessed by the Nomination Committee and found suitable for re-election, with Mr So’s independence reaffirmed. • Mr Wu’s annual remuneration: HK$0.31 million; Mr So’s annual fee: HK$0.07 million (adjusted from HK$0.14 million to reflect current financial conditions).

3. Auditor Re-appointment • McMillan Woods (Hong Kong) CPA Limited is nominated for re-appointment as independent auditor for the year ending 31 March 2027. • Expected audit fee: HK$0.60–0.70 million, broadly in line with prior years.

4. AGM Logistics • Date & Time: 24 September 2026, 3:30 p.m. • Venue: Portion 2, 12/F, The Center, 99 Queen’s Road Central, Hong Kong. • Shareholders must return proxy forms by 3:30 p.m. on 22 September 2026. The shareholder register closes 21–24 September 2026.

5. Takeover Code & Public Float • Full utilisation of the buyback mandate would not trigger a mandatory offer under the Takeovers Code, nor reduce public float below the 25% requirement.

6. Share Price Reference • Over the 12 months to 25 August 2026, Asia-Pac Financial’s shares traded between HK$0.061 and HK$0.69.

If approved, the mandates remain valid until the next AGM, lapse of the statutory period, or revocation by shareholders, whichever occurs first.
