Sheen Tai Holdings Group Company Limited reported that all seven ordinary resolutions tabled at its Annual General Meeting (AGM) on 29 May 2026 were approved by poll with unanimous support.
Key AGM Outcomes 1. Financial Statements and Auditors • Shareholders representing 1.17 billion votes (100.00%) adopted the audited consolidated accounts for the year ended 31 December 2025. • HLB Hodgson Impey Cheng Limited was re-appointed as external auditor with 1.17 billion votes (100.00%) in favour; the Board is authorised to determine audit fees.
2. Board Elections and Remuneration Authority • Re-election of Executive Director Mr Guo Yumin and Independent Non-executive Director (INED) Mr Chan Yin Lam passed with 100.00% support. • Appointment of Mr Zeng Xiangyang as Executive Director and Mr Wu Weili as INED likewise secured full shareholder backing. • The Board received authority to set directors’ remuneration.
3. Capital Mandates • A general mandate to issue new shares up to 20% of existing issued share capital and a separate mandate to repurchase up to 10% of shares were each approved by 1.17 billion affirmative votes (100.00%). • The issue mandate may be extended by the amount of shares repurchased under the buy-back mandate.
Share Capital and Voting Base • Shares in issue on the meeting date: 2.43 billion. • Shares represented in the poll: 1.17 billion, accounting for 48.05% of the total outstanding.
Board and Committee Changes • INED Ms Fan Qing retired after more than 14 years of service, relinquishing positions on the Audit, Nomination and Remuneration Committees. • Mr Guo Yumin stepped down as chair and member of the Nomination Committee. • Executive Director Ms Xia Yu joined the Nomination Committee. • Newly appointed INED Mr Wu Weili became chair of both the Remuneration and Nomination Committees and joined the Audit Committee.
